1. Introduction
Welcome to Stelar Labs. These Terms of Service ("Terms") govern your access to and use of Stelar Labs' services, including our website, applications, and all related services (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.
These Terms constitute a legally binding agreement between you and Stelar Labs regarding your use of the Services. Please read them carefully.
Our Privacy Policy and Cookie Policy are incorporated by reference into these Terms. Please review these policies to understand our practices regarding your personal information.
2. Definitions
The following terms have the meanings set forth below:
- "Account" means a user account created on the Services to access certain features.
- "Astreum" means the Astreum blockchain network.
- "ASTR" means the native cryptocurrency token of the Astreum blockchain.
- "Content" means any data, code, text, graphics, or other materials uploaded, submitted, or created using the Services.
- "Organization" means a collaborative workspace created within the Services that allows multiple Users to share access to resources.
- "Services" means all products, features, and services offered by Stelar Labs, including Wallet, Code, Platform, and Atlas.
- "Stelar Labs," "we," "us," or "our" means Stelar Labs and its affiliates.
- "User," "you," or "your" means any individual or entity accessing or using the Services.
3. Eligibility and Registration
Age Requirements. You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services. By using the Services, you represent that you meet this requirement.
Account Registration. To access certain features, you must create an Account. You agree to:
- Provide accurate, current, and complete information during registration.
- Maintain the security of your login credentials and accept all risks of unauthorized access.
- Promptly update your account information if it changes.
- Not create more than one personal Account without our prior written consent.
Account Responsibility. You are responsible for all activities that occur under your Account. If you become aware of any unauthorized use, you must notify us immediately.
Organizations. Organizations may have multiple Users with different permission levels. Each Organization must designate an administrator who is responsible for managing User access and ensuring compliance with these Terms.
4. General Terms of Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Services in any way that violates applicable laws or regulations.
- Attempt to gain unauthorized access to any portion of the Services or any systems or networks connected to the Services.
- Interfere with or disrupt the integrity or performance of the Services.
- Collect or harvest any information from the Services without authorization.
- Upload, transmit, or distribute any malicious code, viruses, or harmful content.
- Use automated systems, bots, or scripts to access the Services without prior written consent.
- Reverse engineer, decompile, or disassemble any portion of the Services.
- Use the Services to conduct fraudulent activity or facilitate money laundering.
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
We reserve the right to suspend or terminate your access to the Services if you violate these Terms or engage in any conduct that we determine, in our sole discretion, to be harmful to other Users, the Services, or Stelar Labs.
5. Service Overview
Stelar Labs provides the following core services:
- Wallet: A service for managing Astreum accounts, tokens, and transactions with features for individuals, teams, and businesses.
- Code: A development environment for creating and managing Astreum Expressions, including an AI-powered code assistant and collaborative repositories.
- Platform: A metered API service for querying Astreum blockchain data and evaluating Astreum Expressions in the cloud.
- Atlas: A blockchain explorer and mapping service for viewing accounts, transactions, and economic state on the Astreum network.
The availability and features of each service may vary based on your subscription plan. We may modify, suspend, or discontinue any service or feature at any time without prior notice.
Some services may require additional agreements or terms specific to that service. Those additional terms are incorporated into these Terms by reference.
6. Wallet Service
Custodial Key Management. The Wallet Service provides on-chain account management for Astreum. Each account consists of an Ed25519 keypair. Private keys are stored in our database to enable transaction signing and automated operations. You may export your private keys at any time. We recommend backing up your private keys securely. Loss of private keys may result in permanent loss of funds. You are responsible for maintaining the security of your credentials and any exported keys. To the fullest extent permitted by law, we are not liable for loss of funds resulting from compromise of your account credentials, failure to back up private keys, or unauthorized access to your account.
Transaction Authorization. All transactions initiated through the Wallet Service require your explicit authorization. By authorizing a transaction, you confirm that:
- You have verified the transaction details, including the recipient address and amount.
- You understand that blockchain transactions are irreversible once confirmed.
- You have sufficient balance and gas fees to complete the transaction.
Checkout and Invoicing. Certain Wallet features allow you to create payment requests, invoices, and checkout pages. You are responsible for:
- Ensuring the accuracy of payment details before sharing them with customers.
- Complying with applicable laws regarding payment processing, taxation, and financial reporting.
- Managing disputes, refunds, and chargebacks with your customers.
No Investment Advice. The Wallet Service does not provide investment, legal, or tax advice. Any information displayed regarding token values, exchange rates, or market data is provided for informational purposes only.
7. Code Service
AI Assistant. The Code Service includes an AI-powered code assistant that may suggest code, complete expressions, or answer questions. You acknowledge that:
- AI-generated content may not be accurate, secure, or suitable for your intended use.
- You are responsible for reviewing and testing all AI-generated suggestions before use.
- We do not guarantee the quality, correctness, or security of AI outputs.
Ownership of Content. You retain ownership of all Content you create, upload, or submit to the Code Service. By using the Code Service, you grant Stelar Labs a limited, non-exclusive license to process your Content solely to provide the Service.
Repositories and Environments. You may create repositories and execution environments within the Code Service. You are responsible for:
- Managing access permissions for your repositories and environments.
- Ensuring your Content does not violate applicable laws or third-party rights.
- Backing up important Content, as we may limit storage based on your plan.
Execution Limits. Code execution within environments may be subject to time, memory, and computational limits. We reserve the right to terminate any execution that exceeds these limits or poses a risk to system stability.
8. Platform Service
API Keys. Access to the Platform Service requires API keys. You are responsible for:
- Keeping your API keys confidential and secure.
- All usage that occurs under your API keys, whether authorized or unauthorized.
- Revoking compromised keys immediately through the Platform dashboard.
Metered Usage. Platform Service usage is metered and billed based on consumption, including data queries, code evaluations, and link resolutions. Usage rates are published on our pricing page and may be updated from time to time.
Rate Limits. We may impose rate limits on API requests to ensure fair usage and system stability. Exceeding rate limits may result in temporary suspension of API access.
Links. Links are prepaid expressions that render as web pages. By creating a Link, you agree that:
- You are responsible for all Content rendered by the Link.
- Links with exhausted balances will display an error message until funded.
- We may remove any Link that violates these Terms or applicable law.
No SLA. Unless you have a separate enterprise agreement, the Platform Service is provided without any service level agreement or uptime guarantee.
9. Atlas Service
Blockchain Data. Atlas provides access to blockchain data from the Astreum network, including account balances, transaction history, and chain state. You acknowledge that:
- Blockchain data may change or be reorganized as new blocks are confirmed.
- Historical data may not represent the current state of the blockchain.
- We do not guarantee the accuracy, completeness, or timeliness of blockchain data.
Data Queries. You may query specific accounts, transactions, or blocks through the Atlas interface or API. Query results are provided for informational purposes and should not be relied upon for legal, financial, or regulatory decisions without independent verification.
Public Information. All data displayed on Atlas is derived from the public Astreum blockchain. We make no claims about ownership, accuracy, or legitimacy of any account or transaction displayed.
10. Fees and Payments
Subscriptions. Access to certain features requires a paid subscription. Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. Subscription fees are non-refundable except as required by law.
Usage Billing. Metered services are billed based on actual consumption. Usage charges are deducted from your account balance or invoiced periodically. We reserve the right to require prepayment for usage-based services.
Payment Methods. You agree to provide accurate and current payment information. You authorize us to charge your payment method for all applicable fees. If payment fails, we may suspend your access to paid features until payment is received.
Price Changes. We may update subscription prices or usage rates at any time. For subscriptions, price changes will take effect at the start of your next billing period. We will provide reasonable notice of material price increases.
Taxes. You are responsible for all applicable taxes associated with your use of the Services. If required by law, we may collect and remit taxes on your behalf.
Refunds. Subscription fees are generally non-refundable. We may, in our sole discretion, provide refunds or credits on a case-by-case basis.
11. Intellectual Property
Stelar Labs' IP. The Services, including all software, designs, logos, and content provided by Stelar Labs, are the property of Stelar Labs or its licensors and are protected by intellectual property laws. You may not use our intellectual property without prior written consent.
User Content. You retain ownership of Content you create, upload, or submit to the Services. By using the Services, you grant Stelar Labs a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your Content solely to provide the Services.
License to Use Services. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose.
Feedback. If you provide feedback, suggestions, or ideas regarding the Services, you grant Stelar Labs a perpetual, irrevocable, royalty-free license to use, implement, and commercialize such feedback without restriction.
DMCA. If you believe any Content infringes your intellectual property rights, please contact us with a detailed notice as described in the Contact Information section.
12. Privacy and Data Protection
Privacy Policy. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand our data practices.
Data Processing. We process data as described in our Privacy Policy. By using the Services, you consent to the transfer and processing of your data in accordance with our Privacy Policy.
Data Retention. We retain personal information for as long as necessary to provide the Services and comply with legal obligations. Upon account deletion, we may retain certain data as required by law or for legitimate business purposes.
Security. We implement reasonable security measures to protect your data. However, no method of transmission over the internet is completely secure, and we cannot guarantee absolute security.
User Rights. Depending on your location, you may have rights regarding your personal data, including access, correction, deletion, and portability. Contact us to exercise these rights.
13. Risk Disclosure and Assumption
Cryptocurrency Risks. Use of blockchain technology and cryptocurrencies, including ASTR, involves significant risks, including:
- Volatility in cryptocurrency values that may result in substantial losses.
- Irreversible transactions that cannot be recovered once confirmed.
- Technical failures, bugs, or vulnerabilities in the Astreum network.
- Regulatory changes that may affect the legality or value of cryptocurrencies.
- Risk of theft, hacking, or loss of private keys.
Smart Contract Risks. Interacting with smart contracts carries risks including code vulnerabilities, unexpected behavior, and potential loss of funds. You acknowledge that Stelar Labs does not develop or control smart contracts on the Astreum network.
Beta Services. Some features may be offered in beta or preview mode. Such features may be unstable, change frequently, or be discontinued without notice. Use of beta services is at your own risk.
Assumption of Risk. By using the Services, you acknowledge that you understand these risks and assume full responsibility for any losses or damages arising from your use of the Services.
14. Disclaimers and Limitation of Liability
As-Is Service. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
No Guarantee. We do not guarantee that the Services will be uninterrupted, error-free, secure, or free from viruses or harmful components.
General Damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, STELAR LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE.
Liability Cap. Our total liability for any claim arising from the Services shall not exceed the amount you paid to Stelar Labs in the twelve months preceding the claim, or $100 USD, whichever is greater.
Exceptions. Some jurisdictions do not allow limitations on implied warranties or exclusion of certain damages. In such jurisdictions, the above limitations apply only to the extent permitted by law.
Indemnification. You agree to indemnify, defend, and hold Stelar Labs and its affiliates, officers, employees, and agents harmless from any claims, losses, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Services or violation of these Terms.
15. Termination
By You. You may terminate your Account at any time through the Services settings or by contacting us. Termination will not affect fees already billed or obligations incurred prior to termination.
By Us. We may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms, extended inactivity, or legal requirements. We will provide reasonable notice when possible, except in cases of urgent security or legal concerns.
Effects of Termination. Upon termination:
- Your right to access the Services will immediately cease.
- We may delete your Account data, subject to legal retention requirements.
- Outstanding balances will be invoiced and become immediately due.
- Any ongoing subscriptions will be canceled without refund.
Survival. Provisions that by their nature should survive termination, including indemnification, limitation of liability, and intellectual property provisions, will remain in effect.
16. Updates and Changes
Modification Rights. We reserve the right to modify these Terms at any time. We will provide reasonable notice of material changes through the Services or by email.
Acceptance of Changes. Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Services.
Prior Versions. We may archive prior versions of these Terms. You may request a copy of any prior version by contacting us.
Service Changes. We may modify, suspend, or discontinue any feature or service at any time without notice. We are not liable for any changes to the Services.
17. Governing Law and Dispute Resolution
Governing Law. These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Stelar Labs is organized, without regard to conflict of law principles.
Dispute Resolution. Any dispute arising from these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration or in a court of competent jurisdiction, as determined by the governing law.
Class Action Waiver. You agree not to participate in class actions, class arbitrations, or representative actions against Stelar Labs. Any dispute resolution will be conducted on an individual basis.
Equitable Relief. We may seek injunctive or other equitable relief to protect our intellectual property or prevent unauthorized use of the Services.
